Acceptance of Terms

Welcome to UltraGPT.pro. These Terms of Service ("Terms") govern your access to and use of the UltraGPT.pro website, platform, applications, features, AI models, and related services (collectively, the "Service").

Please read these Terms carefully before using the Service. By accessing, registering for, purchasing, or using UltraGPT.pro, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Refund Policy. If you do not agree with any part of these Terms, you must not access or use the Service.

These Terms constitute a legally binding agreement between you and UltraGPT.pro.

UltraGPT.pro reserves the right to update, modify, or replace these Terms from time to time. When material changes are made, we may provide notice through the Service or other appropriate means. Your continued access to or use of the Service after updated Terms become effective constitutes your acceptance of the revised Terms.

User Eligibility

UltraGPT.pro is available to individuals who are at least 18 years old, or the age of majority in their jurisdiction, whichever is applicable.

If you access or use UltraGPT.pro on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

You may not use the Service if applicable law prohibits you from doing so.

User Accounts

Certain features of UltraGPT.pro may require you to create or maintain an account. You are responsible for:

• Providing accurate information when required
• Maintaining the confidentiality of your account credentials
• Maintaining the security of your account
• All activity occurring through your account
• Promptly notifying UltraGPT.pro if you believe your account has been accessed without authorization

You must not use another person's account without authorization.

UltraGPT.pro may suspend, restrict, or terminate accounts where we detect misuse, abusive behavior, unauthorized activity, attempts to circumvent technical restrictions, suspicious activity, or conduct that may adversely affect the security, stability, or availability of the Service.

Proper Use of UltraGPT.pro

Permitted use. You may use UltraGPT.pro only for lawful and legitimate purposes and in accordance with these Terms and applicable laws and regulations. You agree not to use the Service in any way that:

• violates applicable laws or regulations;
• infringes the rights of UltraGPT.pro or any third party;
• is fraudulent, abusive, harmful, or disruptive;
• attempts to gain unauthorized access to the Service or its systems;
• interferes with the normal operation or security of the Service;
• attempts to circumvent, bypass, manipulate, or disable usage limits or technical restrictions;
• places an unreasonable or disproportionate load on the Service or its infrastructure;
• uses automated methods, scripts, bots, or other mechanisms in a manner that materially interferes with the normal operation of the Service, unless expressly authorized by UltraGPT.pro.

Content guidelines. You must not use UltraGPT.pro to upload, generate, share, distribute, or otherwise process content that is unlawful, abusive, discriminatory, defamatory, or otherwise prohibited by applicable law. You are solely responsible for the content you submit to or generate through the Service and for ensuring that your use of such content complies with applicable laws and third-party rights.

You retain ownership of content that you submit to UltraGPT.pro, subject to the rights necessary for us to provide and operate the Service. You grant UltraGPT.pro a non-exclusive, royalty-free, worldwide license to process and use submitted content as reasonably necessary to provide, maintain, secure, troubleshoot, and improve the Service, subject to our Privacy Policy.

Intellectual property. UltraGPT.pro and its associated software, interfaces, designs, branding, code, documentation, features, and other materials are protected by copyright, trademark, and other applicable intellectual property laws. Except where expressly permitted by law or by UltraGPT.pro in writing, you may not:

• copy or reproduce the Service;
• modify or create derivative works based on the Service;
• redistribute or resell the Service;
• reverse engineer or attempt to extract source code from the Service;
• use UltraGPT branding or proprietary materials without permission.

Fair Usage Policy

UltraGPT.pro is designed to provide generous access to advanced artificial intelligence models and features while maintaining reliable service, reasonable performance, and fair access for all users. Because AI models and related features require significant computational, infrastructure, and network resources, exceptionally high or disproportionate usage by an individual account may place a substantially greater load on our infrastructure and may negatively affect service availability, performance, or capacity for other users. Accordingly, all subscriptions, accounts, and use of UltraGPT.pro are subject to this Fair Usage Policy.

Usage monitoring. UltraGPT.pro may use automated systems to monitor, measure, analyze, and compare account usage for purposes including service reliability, security, performance, capacity management, abuse prevention, and fair access. Factors that may be considered include, but are not limited to:

• the number of requests submitted;
• the number of tokens processed or consumed;
• frequency of requests;
• duration and continuity of usage;
• computational resources required to process requests;
• use of particularly resource-intensive AI models or features;
• image, file, audio, video, search, reasoning, or other resource-intensive operations;
• usage patterns over a given period;
• overall usage compared with the average usage of comparable UltraGPT users.

UltraGPT.pro may evaluate these factors individually or collectively. No single usage metric is required to determine whether an account is subject to Fair Usage measures.

Excessive or disproportionate usage. An account may be considered to have excessive or disproportionate usage when its overall consumption is substantially higher than the normal usage patterns of comparable UltraGPT users. As a general guideline, an account whose combined usage, including request volume and token consumption, reaches approximately 10 times the average usage of comparable users may be automatically flagged by UltraGPT.pro's systems for Fair Usage management or review.

The approximately 10× threshold is a general guideline and is not a fixed contractual entitlement or guaranteed threshold.

UltraGPT.pro may consider additional factors when evaluating usage, including changes in average platform-wide usage, infrastructure capacity, AI model resource requirements, third-party model availability, overall system demand, unusual or continuous usage patterns, and technical or operational requirements. UltraGPT.pro therefore reserves the right to apply Fair Usage measures when reasonably necessary to maintain the stability, security, performance, and availability of the Service, even where an account has not reached the approximately 10× guideline.

Automatic flagging. UltraGPT.pro may use automated monitoring and detection systems to identify accounts whose usage significantly exceeds normal usage patterns. If an account is automatically flagged, UltraGPT.pro may apply temporary usage controls without prior notice where reasonably necessary to protect the Service and other users. A Fair Usage flag does not necessarily indicate abuse, misconduct, or a violation of these Terms — it may simply indicate that an account's resource consumption is substantially higher than the normal usage level of comparable users.

Temporary usage adjustments. Where an account is identified as having disproportionately high usage, UltraGPT.pro may temporarily adjust one or more usage parameters associated with that account. Such measures may include, but are not limited to:

• increasing the usage reset interval;
• applying temporary rate limits;
• reducing the frequency at which usage allowances reset;
• temporarily limiting access to particularly resource-intensive models or features;
• adjusting access to certain high-compute capabilities;
• applying other reasonable technical measures necessary to maintain service stability and fair access.

For example, an account operating under a standard 4-hour usage cycle may, where appropriate, temporarily be placed on an 8-hour usage cycle. Such an adjustment is a temporary service-management measure intended to balance resource consumption across the platform — it does not, by itself, constitute a suspension or termination of the user's account.

Duration of temporary measures. Unless otherwise specified by UltraGPT.pro, temporary Fair Usage measures may remain in effect until the end of the applicable calendar month. Following the end of the applicable period, the account may automatically return to its standard usage parameters, subject to continued compliance with these Terms and the Fair Usage Policy. UltraGPT.pro reserves the right to maintain, modify, reduce, extend, or remove temporary usage controls where reasonably necessary due to continued disproportionate usage, changes in platform capacity, infrastructure requirements, system demand, or other operational considerations.

No guaranteed unlimited computational resources. Subscription plans provide access to the features and usage parameters advertised for the applicable plan, subject to these Terms, the Fair Usage Policy, and the technical availability of the Service. A subscription does not provide an unconditional guarantee of unlimited or unrestricted computational resources. Published usage limits and reset intervals are intended to provide substantial access to the Service under normal and reasonable usage conditions — they do not prevent UltraGPT.pro from implementing reasonable Fair Usage measures where an account's resource consumption is materially disproportionate to that of comparable users.

Changes in platform-wide usage. UltraGPT.pro may adjust Fair Usage thresholds, monitoring methods, or usage-management measures when reasonably necessary to reflect changes in the number of active users, overall platform demand, infrastructure capacity, AI model costs or resource requirements, third-party provider limitations, technical architecture, service availability, or security requirements. Such changes may be implemented to maintain a consistent, reliable, and sustainable experience across the platform.

Fair Usage and subscription entitlements. Fair Usage measures do not automatically cancel, terminate, or invalidate a user's subscription. Unless otherwise stated, a user whose account is subject to a temporary Fair Usage adjustment continues to have access to the applicable Service, subject to the temporary usage parameters applied to the account. A temporary Fair Usage adjustment does not automatically create a right to a refund, credit, compensation, or subscription extension, except where otherwise required by applicable law or expressly determined by UltraGPT.pro.

Fair Usage measures and prohibited activity. Fair Usage measures are separate from restrictions relating to prohibited or abusive activity. The following may be subject to additional restrictions, suspension, or termination under these Terms:

• unauthorized access;
• unauthorized account sharing;
• resale or unauthorized commercial redistribution;
• circumvention or attempted circumvention of usage limits;
• automated activity that materially interferes with the Service;
• attempts to manipulate or bypass UltraGPT.pro's technical controls;
• abuse of third-party AI models or infrastructure;
• other activity prohibited under these Terms or applicable law.

An account may therefore be subject to both Fair Usage measures and additional enforcement measures where circumstances warrant.

Customer responsibility. Users are responsible for reviewing the applicable subscription description, usage parameters, and Fair Usage Policy before purchasing and using an UltraGPT.pro subscription. By purchasing or using a subscription, the user acknowledges that:

• usage is subject to reasonable Fair Usage controls;
• exceptionally high usage may result in temporary changes to usage parameters;
• the approximately 10× average usage level is a general guideline for identifying potentially disproportionate usage and is not a guaranteed contractual threshold;
• usage parameters may be temporarily adjusted where reasonably necessary to maintain Service stability and fair access;
• temporary Fair Usage measures do not, by themselves, constitute account suspension or termination.

Third-Party Models and Services

UltraGPT.pro integrates various third-party AI models, technologies, APIs, and services, including services provided by companies such as OpenAI, Anthropic, Google, xAI, and other providers. While we strive to provide a reliable and high-quality experience, UltraGPT.pro does not guarantee the continuous availability, accuracy, performance, or behavior of any third-party model or service.

Third-party models and services may:

• become temporarily unavailable;
• experience capacity limitations;
• change their capabilities;
• change their pricing or technical requirements;
• become restricted or discontinued;
• be modified by their respective providers.

Such changes may occur without notice and may affect the availability or functionality of corresponding features on UltraGPT.pro. Implementations available through UltraGPT.pro may differ from versions hosted directly by their respective providers and may be adapted, configured, or integrated specifically for use within the UltraGPT platform.

The temporary unavailability, modification, or discontinuation of a particular third-party model does not automatically constitute a breach of these Terms or create an automatic right to a refund.

Payments and Subscriptions

All paid plans, subscription prices, features, and applicable usage parameters are displayed on the UltraGPT.pro website or at the time of purchase. By completing a purchase, you agree to pay the applicable price for the selected product or subscription.

Where applicable:

• subscription fees are charged according to the payment terms presented at checkout;
• subscriptions may renew automatically unless cancelled before the applicable renewal date;
• cancellation of a subscription prevents future renewal but does not automatically provide a refund for the current subscription period;
• unused subscription time, unused requests, unused tokens, or unused features are not automatically refundable;
• promotional offers, discounts, credits, and bonuses may be subject to additional conditions.

UltraGPT.pro reserves the right to modify subscription plans, pricing, features, usage limits, and availability, subject to applicable law. Changes may be necessary due to changes in third-party AI model availability, infrastructure requirements, operational costs, or service conditions.

All refunds are governed by our Refund Policy.

Limitation of Liability

UltraGPT.pro is provided on an "as-is" and "as-available" basis. To the maximum extent permitted by applicable law, UltraGPT.pro disclaims all warranties, express or implied, regarding the Service, including warranties relating to availability, reliability, accuracy, performance, fitness for a particular purpose, and uninterrupted operation.

UltraGPT.pro does not guarantee that:

• the Service will always be available;
• AI-generated responses will be accurate or complete;
• AI-generated content will be suitable for every purpose;
• any particular AI model or feature will remain available;
• the Service will operate without interruption or errors.

To the maximum extent permitted by applicable law, UltraGPT.pro shall not be liable for direct, indirect, incidental, special, consequential, or other damages resulting from or related to your use of, or inability to use, the Service.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless UltraGPT.pro, its officers, employees, contractors, service providers, and partners from claims, damages, liabilities, costs, and expenses arising from or related to:

• your use of the Service;
• your violation of these Terms;
• your violation of applicable laws or regulations;
• your infringement of third-party rights;
• your misuse of the Service;
• your unauthorized use of another person's account;
• your violation of any applicable policies.

Suspension and Termination

UltraGPT.pro may suspend, restrict, or terminate your access to the Service where reasonably necessary, including in circumstances involving:

• violation of these Terms;
• abuse or misuse of the Service;
• unauthorized access or activity;
• attempts to circumvent technical restrictions;
• fraudulent activity;
• activity that threatens the security, stability, or availability of the platform;
• unauthorized resale or redistribution;
• other circumstances permitted under applicable law.

Where appropriate, UltraGPT.pro may apply temporary restrictions rather than terminate an account.

Termination or suspension does not automatically entitle a user to a refund. Refund eligibility is governed by our Refund Policy and applicable law.

Provisions that reasonably should survive termination, including intellectual property rights, disclaimers, limitations of liability, indemnification obligations, payment obligations, and applicable restrictions, will remain in effect.

Policy Updates

UltraGPT.pro may update these Terms and related policies from time to time to reflect changes in:

• technology;
• infrastructure;
• AI model availability;
• pricing;
• service capacity;
• security requirements;
• legal or regulatory requirements;
• business or operational practices.

The most recent version published on the UltraGPT.pro website will constitute the current version of these Terms. Where required by applicable law, material changes will be communicated through appropriate means.

Governing Rights and Applicable Law

These Terms shall be interpreted and applied in accordance with applicable law.

Nothing in these Terms is intended to deprive consumers of mandatory rights or protections granted to them under the laws applicable to their jurisdiction.

Where a provision of these Terms is determined to be unenforceable or invalid, the remaining provisions will remain in full force and effect to the maximum extent permitted by law.
